CIRCUIT RACING VEHICLE

                                                  OPERATIONS CENTER

                   I. Introduction

CHO has designed, fabricated, checked out, and delivered to the Chrysler
Engineering Office-Highland Park Circuit Racing Group (Messrs. L. J. Rathgeb,
                   H. P. Bruns and R. M. Rodger) a computerized race scoring system installed in
a Motor Home and a instrumentation system for data pickup and recording on the
race car test vehicle. In addition a car driver to pit radio communication system
                   was delivered.

The Chrysler Engineering Office-HP has been operating a race car garage
(Woodward Garage-Detroit) which is at a separate location from the Highland Park
Engineering Office. This facility is being closed in Detroit and the circuit racing
function transferred to Huntsville, Alabama, due to a number of reasons mainly
due to proximity to major race tracks.

                   II. Scope of Work

The Center will support the Chrysler Engineering Office-Highland Park
Circuit Racing Group efforts in the preparation of engineering test model vehicles
for track performance testing. Instrumentation will be installed and checked out
at the Center in preparation for track tests. The engineering test car and all sup
port equipment will be transported to test sites or major circuit racing tracks for
                   developmental tests.

The mobile race control system containing the computerized race scoring
system will be maintained and operated from the Huntsville Center. The Mobile
Control System (self-contained in a Dodge Mobile Home) will be moved to Super
Speedway races for control operations, scoring, and communications. Also the
Mobile Control System will be used for housing instrumentation systems and sup
port services for special track tests.

Circuit racing super-speedway cars will be prepared and modified for test
ing at the Center. Engine, drive train, suspension, and sheet-metal modifications
will be made to match test requirements and track conditions.

The Chrysler Engineering Office-Highland Park will provide basic require
ments for vehicle preparation and buildup of vehicle systems or components.
